I help clients in negotiating, structuring, advising on, and documenting the purchase and financing of various mergers, stock purchases, asset acquisitions, corporate separations, spinoffs, split-offs, stock splits, reverse stock splits, triangular and reverse triangular mergers, and reorganizations of various types of companies and assets including negotiating with purchasers, sellers, and lenders, as well as negotiating and preparing the purchase and financing documents, including acquisition instruments, loan commitments, loan agreements and documents, revolving loan agreements, letters of credit, debt instruments and security documents with both private and institutional lenders, for the acquisition or sale of various types of business and companies, including: technology; software development; web site design, development, and maintenance; trucking; nursing homes; retirement homes; personnel agencies; office buildings; retail chains; chemical production facilities; rubber production plants; mining; leasing; real estate development; financial services; office management; janitorial service; oil and gas production; office warehouses; shopping centers; and apartment projects; negotiating and preparing the purchase and financing documents, including deeds, bills of sale, assignments, loan commitments, loan agreements and documents, revolving loan agreements, letters of credit, debt instruments and security documents (deeds of trust, security agreements, and financing statements) with both private and institutional lenders.
